Terms of Use
Effective September 22, 2026
These Terms govern use of SpotlightLA Sound FX, provided by Spotlight Entertainment LA Events, a California corporation. By using the app, the user agrees to these Terms and Apple’s applicable usage rules.
Eligibility and authority
The user must be legally capable of agreeing to these Terms. A user who has not reached the age of legal majority where the user lives may use the app only with a parent or legal guardian’s permission and supervision. A person using the app for a business, venue, school, or other organization represents that the person has authority to bind that organization; “user” then includes that organization. The app is not directed to children under 13.
License and acceptable use
Spotlight Entertainment LA Events grants the user a limited, personal, nonexclusive, nontransferable license to use SpotlightLA Sound FX on Apple-branded products the user owns or controls, as permitted by Apple’s Usage Rules. The app is licensed, not sold. The user may not misuse the app, interfere with its operation, bypass purchase controls, redistribute the app, or reverse engineer it except where applicable law does not permit that restriction.
The user is responsible for access to the user’s devices and Apple Account, for protecting device passcodes and account credentials, and for activity performed through those devices or accounts.
User media and rights
SpotlightLA Sound FX is a playback, editing, organization, recording, export, transfer, and optional synchronization tool. It is not a media-rights service or a guaranteed backup service. Spotlight Entertainment LA Events does not supply, own, license, clear, insure, verify, or grant rights to media that a user imports, records, references, performs, broadcasts, copies, exports, synchronizes, or shares.
The user retains any rights the user already holds in user-created content. The user represents that the user has all rights and permissions required for the intended use and is solely responsible for copyright, master-use, synchronization, performance, broadcast, trademark, privacy, publicity, contractual, venue, and other permissions. The user must not use the app to infringe rights, evade access controls, facilitate unlawful file sharing, or violate a source website or service’s terms.
The user authorizes the app and user-selected Apple services to copy, process, convert, store, and transmit user media and Show information only as needed to provide chosen features. This authorization does not transfer ownership.
Website shortcuts are user-created browser links only. They are not endorsements, integrations, licensed catalogs, or authorization to download. The public app does not inspect, capture, convert, or download media from websites.
Shows, exports, and sharing
A Show may contain copies of audio and user-entered information. Before exporting or sharing a Show, the user must confirm permission to copy and redistribute every included item and avoid disclosing confidential or personal information. Recipients receive no media rights from Spotlight Entertainment LA Events.
iCloud synchronization and data safety
If enabled, the app may automatically upload, download, copy, update, merge, or delete Show information and eligible managed media in the user’s private iCloud database. Changes and deletions may propagate to other devices signed in to the same Apple Account. Offline edits may be queued, and concurrent edits may require the user to choose which version to keep.
Synchronization, export, transfer, and recovery are convenience tools, not substitutes for an independent backup. Uploads, downloads, conflict resolution, merges, deletions, device failure, storage limits, network interruption, software errors, incompatible versions, or third-party changes may cause media or Show data to become delayed, unavailable, incomplete, duplicated, corrupted, or lost. A successful sync status does not guarantee permanent preservation or confirm that every other device has downloaded and tested every file.
Users are responsible for keeping original media, maintaining a separate current export or backup, checking device and iCloud storage, and verifying required media before an event. Synchronization depends on Apple services, the user’s Apple Account, compatible software, network access, and available iCloud storage. Those services are governed by their own terms and privacy policies.
Purchases and free limits
The free version is limited to one Show, one board, and six sounds. Paid features, prices, and any trial will be shown in the App Store and in the app before purchase. Apple processes App Store purchases, renewals, cancellations, and refunds under Apple’s rules.
Apple relationship
These Terms are between the user and Spotlight Entertainment LA Events, not Apple. Spotlight Entertainment LA Events, not Apple, is responsible for the app and its content, maintenance and support, and addressing claims relating to the app. Apple has no obligation to provide maintenance or support.
If the app fails to conform to an applicable warranty that has not been effectively disclaimed, the user may notify Apple, and Apple may refund the purchase price as provided by Apple’s rules. To the maximum extent permitted by law, Apple has no other warranty obligation concerning the app.
The user must comply with applicable third-party terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against the user. The user represents that the user is not located in a region subject to a United States government embargo and is not on a United States government prohibited- or restricted-party list. Apple’s standard end-user license agreement also applies unless a custom agreement is submitted.
Live-performance responsibility
Users must verify audio, routing, device power, storage, synchronization status, backups, permissions, and venue requirements before a live event. Software, hardware, networks, storage, and third-party services can fail. Users should maintain an independent backup playback plan. SpotlightLA Sound FX is not an emergency, safety, or life-critical system.
External services, updates, and pre-release software
Links, Files providers, websites, devices, networks, audio hardware, and Apple services are operated by others. We do not control or endorse them and are not responsible for their content, terms, security, availability, or acts. Features may change, be suspended, or be discontinued, subject to applicable law.
TestFlight, beta, internal, and other pre-release builds may be incomplete, unstable, time-limited, and subject to change. They are for evaluation and should not be the sole system used for a live event.
Availability and warranty disclaimer
To the maximum extent allowed by law, SpotlightLA Sound FX is provided “as is” and “as available,” without warranties of uninterrupted operation, availability, compatibility, data preservation, fitness for a particular purpose, noninfringement, or error-free performance. Some jurisdictions do not allow certain exclusions.
Limitation of liability
To the maximum extent allowed by law, Spotlight Entertainment LA Events will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages; loss, corruption, alteration, disclosure, duplication, or unavailability of media or Show data; missed cues; event interruption; replacement services; third-party claims; or unauthorized use of content. Aggregate liability will not exceed the greater of fifty United States dollars or the amount the user paid for SpotlightLA Sound FX during the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including fraud, gross negligence, willful misconduct, willful injury, violation of law, death or personal injury where liability cannot be limited, or other nonwaivable rights.
Responsibility for claims
To the extent permitted by law, the user agrees to defend, indemnify, and hold harmless Spotlight Entertainment LA Events and its officers, employees, and contractors from third-party claims, damages, and reasonable costs arising from the user’s media, violation of another person’s rights, unlawful use of the app, or material breach of these Terms. This does not require a consumer to waive a nonwaivable legal right.
Termination
The license ends if the user materially violates these Terms. Sections concerning content rights, data safety, disclaimers, liability, responsibility for claims, and disputes survive termination.
California law
These Terms are governed by California law, without regard to conflict-of-law rules. Courts located in Los Angeles County, California will have exclusive jurisdiction where legally permitted. Consumers retain any nonwaivable rights available where they live.
General terms
Neither party is responsible for delay or failure caused by events beyond its reasonable control, except obligations that cannot lawfully be excused. If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder stays effective. These Terms, the Privacy Policy, the Content Rights Policy, and Apple’s applicable terms form the agreement governing the app.
